Definitions.
Adem Ltd :- Adem , We or Us.      Customer :- You or Your.    Consumer :-  An Individual buying for yourself rather than a Business.     Goods :- The products sold by us to you including packaging, manuals and any other ancillary components or documents.

Complete satisfaction promise.
Adem guarantees your total satisfaction with our products and services. If for any reason you are not satisfied with your online purchase, simply call us on 44 (0)208 676 8092 within 7 days and we will endeavour to resolve the issue without delay.

Prices and Payment.
Our advertised prices do not include VAT and delivery. The price of the goods may be changed from the one advertised.

We accept payment by bank transfer, cheque, credit or debit card. Credit card and debit card payments are taken at the point of customer order not on dispatch of goods. We reserve the right in some cases  to levy an extra charge in respect of some credit card payments , we will always notify you in these cases.

Goods bought on authorised credit accounts must be paid for by 30 days from our invoice date. We remain owners of the goods you purchase until you have paid for all of them in full. We can retrieve and resell them if they are not paid for. This applies to all goods we supply to you and to any money owing in respect of any transaction with you.

Contract for sale
The Manufacturers specification, description and price of individual goods can change, therefore the invitation to you to order goods from us is not an offer by us to sell to you goods of the specification and description at the price indicated. Please note that we reserve the right to cancel or refuse orders for items shown on our website with an incorrect price or with any other incorrect information. Your order is an offer to us to buy the goods of the specification and description at the price indicated. Wherever possible we will accept your order to buy the goods of the specification and description at the price indicated, and in which case there will be a concluded agreement between you and us. Wherever it is not possible to accept your order to buy the goods of the specification and description at the price indicated we will advise you by e-mail and offer to sell you the goods of the specification and description at the price stated in the e-mail and will state the period for which the offer or the price remains valid.You may accept our offer by e-mail within the period stated and in which case there will be a concluded agreement between us.

Receipt of order.
Unless you have an authorised credit account Adem must receive payment in full for your order before it can be accepted. Once your payment has been authorised and stock is checked, Adem will send you an email receipt confirming your order. Please keep this receipt for your records.

In exceptional circumstances, if we are not able to fulfill an order we have accepted, your payment will be refunded at the original price and we will notify you by email.


Adem reserve the right to refuse to supply to any person for whatever reason.

Delivery.

Standard Delivery Charges are to UK Mainland addresses only. All other destinations will be quoted on request.
The goods shall be delivered by us to your address and the risk in the goods shall pass to you upon delivery. You should note that our carrier requires immediate notice to be given of any loss or damage to goods and you should inspect the goods upon receipt and report any loss or damage to the carrier and us immediately. Insofar as you report any damage to goods to us within 24 hours of delivery we will refund the price and carriage or replace the goods at no cost to you.

In respect of any damage to goods reported to us after 24 hours of delivery we shall require proof from you that the goods were damaged before receipt by you.

 
Where items are not in stock they are usually available within  5 - 7 days.

We will try to deliver the goods to you within the time estimated for delivery. If we are unable to do so, we reserve the right to deliver them within 14 days.

If we are unable to deliver the goods to you within 14 days beginning with the day after the day of the agreement. We shall inform you by e-mail and we shall make a further offer to you by e-mail to sell you the goods of the specification and description at the price stated in the e-mail and will state the period for which the offer or the price remains valid. Unless you accept the offer we will reimburse any sum paid by you or on your behalf under or in relation to the agreement within a period of 30 days beginning with the day on which the time for delivery expired.

 
Refunds
If you are a Consumer(a private person buying for their personal use)  you have the right to cancel within 7 daysof placing your order,or 7 days of receipt of goods (whichever is the longer). If as a Consumer you cancel the order and providing you follow the procedure outlined below in Returning a Product your payment will be refunded (excluding any carriage costs ).  This applies to all products, however we regret that we cannot accept contract cancellations for consumable items including  Ink,Toner or software where the seal is broken on the item. Business customers are subject to the terms below in Returning a Product

Returning a product
It is your responsibility to check the goods on delivery. All our goods are sold to you with the benefit of the manufacturer's warranty. We will accept returns of faulty goods notified to us within 7 days of delivery.

If faulty goods are to be returned to us you must obtain written authorisation from us first. The authorisation will be valid for 14 days. Once authorisation has been given  the Goods,  must be returned in their original packaging together with all accessories and manuals. Please note that for International orders all carriage costs are the responsibility of the customer.

If after ordering you change your mind we may take goods back at our discretion if they are unopened, unused and in perfect condition.However we regret that we cannot accept returns for consumable items including  Ink,Toner or software where the seal is broken on the item.  There will be a handling charge of 15% of the purchase price (or £20 whichever is greater) plus a collection charge for this service. Please contact us for details.

We cannot under any circumstances accept unauthorised returns . Maximum refund amount will be the selling price, shipping costs will not be refunded and in no circumstances will we be liable to you for any additional amounts.

Defective and damaged items.
If you should receive an item that is defective, damaged or not what you ordered, please contact us within 7 days. Our sales representatives will help you resolve any issues as quickly as possible by delivering another item, replacing your order or refunding the amount paid.

Customer responsibility.
Adem cannot guarantee that the sale and delivery of its goods to your particular country or location is permissible, so please be aware of your own geographic import restrictions.

This site and its contents will not constitute the basis for any contractual commitment between Adem Ltd and any prospective customer in any jurisdiction in which the solicitation of interest or the offering of or sale of products by Adem would contravene any applicable local, regional or national legislation. No prospective customer should seek to make any order through the site from jurisdictions in which it would be illegal for Adem to sell products.

Legal Governance.
Your use of this site and any contract between you and Adem for the sale of products shall be governed by and shall be construed in accordance with the laws of England and Wales and shall be subject to the exclusive jurisdiction of the Courts of England and Wales. If any provision of these terms and conditions shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable for these terms and conditions and shall not affect the validity or enforceability of any remaining provisions.
